Since 2010, we have developed a series of Partnership Levels that will allow partnering firms to differentiate their special skill areas and select the genre most apt for them. This document explains the composition and terms of joining the PPNP.
Outline
All forms of branding elements involved in the relationship, if previously registered shall remain the exclusive property of PCSoft, but the authorized partner will be conferred rights to use the same for business propagation. These branding elements include (but are not limited to) names, marks, signs, symbols, color combination, taglines and slogans. The Network Partner is permitted to sell PCSoft’s products, as long as it bears the PCSoft mark and a fitting copyright notice attributed to PCSoft is affixed.
All products will have integral dongle locks, which shall be activated once applicable License Fees are paid to PCSoft. There will not be any access to source code. However knowhow of user defined reports, user defined screens, user defined additional fields in existing screens will be given. Knowhow of standard library functions will be given. Customization will be done by PCSoft as per prevailing tariff sheet charges.

Superior Technology -: PCSoft is among very few players offering Dual Architecture mode of ERP software usage. This Dual system means the software is available in both a GUI mode and a Browser Based mode.
Implementation done remotely by PCSoft -: Generally is id hard for IT firms to find and keep talented implementation executives. Fortunate we offer you the choice to be a non-implementation partner wherein you can focus on your core strength (presumably ‘sales’). In effect you can opt not to do the arduous implementation take, and instead leave the latter to us.
Special Extensions -: PCSoft ERP packages have a number of value-added extensions designed to sit atop the ERP package. Tightly integrated BI and production scheduler.
Impressive Design -: PCSOft’s packages are more relevant, more germane to manufacturers than the generic options. Our software has an industrial focus and we have left out many extraneous section helping to keep the clients system simple and de-cluttered, yet powerful. Out design is compact but without compromising on any noteworthy feature. This is why its possible for prospects to master our ‘total package’, whilst with Oracle and SAP anyone can at best master just one module – given the complexity and superfluous material which most users will never even use or need. Option of adding fields/validation in data capture forms.
Money Back Option to Clients -: PCSoft provides a unique Money-Back option to its clients and this extends to the vehicle of the PPNP. The money-back offer is applicable to both license fee and implementation cost.
Various Licensing Options -: PCSoft offers a flexible system of licensing, based either on concurrent users, or on registered users. See details in our Standard Tariff Sheet.
Multiple Partnership Levels -: Option of becoming marketing partner or implementation partner or marketing cum implementation partner.
Great Reporting Tools -: We have a Crystal Report interface enabling implementation partner to modify existing reports, develop new ones or construct OLAP based reports.

Further to this structure of commissions you can conceptually think of there being four types (or genres) of partners as follows. Fig.3
Term & Conditions for joining our Partner network:
Payment Mode -: Money payable is directly proportionate to amount received from customers towards license fee and payable within a week of amount deposited.
PCSOFT Handbook -: The latest handbook will be given from time to time to the business partner. Includes latest tariff sheet and updated modules, updated architecture, updated implementation methodology, updated third party integrated packages.
Implementation Charges -: Exactly as explained in the PCSoft’s Standard Tariff Sheet.
PCSOFT Demo Charges-: If PCSOFT conducts demonstration on behalf of the partner or to assist the partner, this service will be charged at the rate of 5K per man day. Out of pocket expenses will be as per actuals.
Demo Kit Charges -: The fee to acquire a Demonstration kit (with sample live data) is Rs. 50K per computer (preferably Laptop). This fee shall include a Dongle, which is essential for usage.
Evaluation copy life time (in the name of business partner /configured for date control or exe activation count control by PCSoft as per request of business partner and later transferable to customer by paying differential license fee based on value added by business partner) with dongle for first user 20K, subsequent concurrent users 15K for ERP. 5K per concurrent user for payroll.
Evaluation copy for specific activation count (100 per user) 10K per concurrent user. Refill 5k per user per refill.
Business partner having know how of implementation can be optionally given field configurable exe with dongle where parameter file can be field configurable by business partner preferably based on advice of pcsoft.
If partner is front end for implementation only upgrade AMC to be given to pcsoft. As per tariff sheet standard prices. Pcsoft sort out bugs and configuration changes. Optional Pcsoft help as per visit charges mentioned in tariff sheet. Partner gets 100% of support AMC.
The prices to be followed by the partner are those prescribed in PCSoft’s Tariff Sheet. It is to be noted that the tariff sheet only describes PCSoft’s flagship full-feature product, Int-E-View. However of late PCSoft also offers a secondary condensed version of its ERP called “Nucleas” which has Core features only. If the Partner sells Nucleas the applicable cost will be 66% of the cost of Int-E-View. The end client has the option to upgrade from Nucleas to Int-E-View at any time by paying the difference. The partner’s commission remains the same in terms of percentage.
Order (license fee and CRP implementation) and support AMC in the name of main implementer. Upgrade AMC in the name of pcsoft.
Separate down load web site for business partner for the latest exe configured EXE and updates.
Such grant of partnership will be for two years but renewable.
Typically Network partnerships agreements are non-exclusive in nature and the partner recognizes the rarity of the option for being exclusive, as being offered to then in Point 16.
If no significant activity/investment (to be defined) is performed within 3 months of signing MOU business partnership can be cancelled by PCSOFT, IF NOT EXCLUSIVE.
Business partner cannot work for or promote any other ERP during and for at least 2 years after termination of agreement.
Business Partner cannot use existing pcsoft consultants for any other business without permission of pcsoft in writing.
Whenever the Business obtains a lead, details of the latter shall be furnished to PCSoft, who must acknowledge that the lead has been generated by the Business Partner singly and give consent for perusal. Unless such consent is received, the partner is not expected to pursue the client in question.
Any lead as explained in point 16 above shall remain exclusive to the Partner for a maximum period of 6 months only, beyond which PCSoft is allowed to proceed with the closing of the lead directly.
